Trasteel agreement and regulatory status

Sizzle is a special purpose acquisition company, or SPAC, with no commercial operations, products or services of its own. Its activities center on evaluating potential business combinations and meeting organizational and public-company reporting requirements.

According to SEC filings, Sizzle signed a definitive business combination agreement with Trasteel Holding S.A. on April 13, 2026. The proposed combination would create a global steel trading and industrial public holding company, expected to trade on Nasdaq as "TSTL" after closing.

Trasteel was founded in 2009. The group operates in more than 60 countries, employs over 1,400 people and serves more than 4,000 customers worldwide.

The agreement provides for Trasteel's sellers to receive $800 million in ordinary shares of the new holding company, valued at $10.00 each. Closing requires at least $75 million in cash, supported by at least $75 million in PIPE financing in addition to any bridge debt.

Trasteel S.A., the newly formed Luxembourg holding company referred to as Pubco, confidentially submitted a draft Form F-4 registration statement to the SEC on September 30, 2026. An October 1 announcement said the statement had not been filed or declared effective and remained subject to SEC review.

IPO, trust account and combination deadline

Sizzle raised $230 million in gross proceeds through its April 3, 2025, initial public offering, selling 23 million units at $10.00 apiece. Each unit included one Class A ordinary share and a right to receive one-tenth of a Class A share upon a business combination.

At December 31, 2025, the company's trust account held $237,007,209 available for a business combination. The corresponding pro rata redemption price was approximately $10.30 per public share.

CEO and Chairman Steve Salis leads Sizzle alongside Non-Executive Vice Chairman Jamie Karson and CFO Daniel Lee. Their previous SPAC, Sizzle I, combined with Critical Metals Corp in February 2024. Critical Metals trades on Nasdaq under the symbol CRML.

Sizzle's deadline to complete its initial business combination is April 3, 2027, or 24 months after its IPO closed. If it does not complete a transaction by then, it must cease operations and redeem all public shares from the trust account, subject to possible shareholder-approved extensions and Nasdaq's 36-month SPAC requirement.
