Algo Grande Copper Corp. announced on August 26, 2026, that it has increased its non-brokered private placement offering to up to $5 million from the previously announced $3 million, citing strong investor demand. The Vancouver-based mineral exploration company will now offer up to 8.33 million common shares at $0.60 per share.

The funds will support ongoing drilling and exploration activities at the company's wholly-owned Adelita Project in Sonora, Mexico, along with operating costs and general working capital requirements. The Adelita Project is located in the Arizona-Sonora copper belt, a region that has been a major copper-producing area for over a century and hosts some of the world's largest copper deposits.

Transaction Details and Regulatory Framework

The company may pay eligible finders a cash commission of 6% of gross proceeds from investors they introduce, along with finder warrants representing 6% of shares purchased by those investors. These warrants would allow holders to purchase additional shares at $0.75 each for 24 months from issuance. Such finder's fees are standard practice in Canadian private placements, where registered brokers typically receive compensation ranging from 5% to 7% for introducing investors to financing opportunities.

Securities issued in the offering will be subject to a four-month hold period under Canadian securities regulations before they can be traded. This restriction, established under National Instrument 45-102, is designed to prevent immediate resale and potential market manipulation. The offering requires approval from the TSX Venture Exchange, a Canadian stock exchange focused on emerging companies in sectors such as mining and energy, with over 1,600 listed companies.

Insider Participation and Compliance

Certain company insiders may participate in the offering, which could constitute a related party transaction under Multilateral Instrument 61-101. The 5,895-hectare Adelita Project is centered on the Cerro Grande copper-gold-silver skarn discovery, which shows continuity along a corridor extending over six kilometers. A skarn deposit forms when hot fluids from magma intrude into and chemically alter carbonate rocks, commonly producing copper, gold, iron, and tungsten mineralization, and is often associated with porphyry systems at depth.

Reprocessed legacy geophysical data and field mapping suggest a potential porphyry system beneath the surface, indicating a classic skarn-porphyry mineralization model similar to major deposits throughout northwestern Mexico. Sonora state is one of Mexico's leading mining regions, producing significant amounts of copper, gold, and silver, with established infrastructure and a regulatory framework governed by Mexican federal mining law.
